This End-User License Agreement ("Agreement") is a legal agreement between you ("User", "You") and MSP Professionals LLC ("Company", "We", "Us", or "Our") governing your use of the Cyber Health Check application (the "Software").

By accessing, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree to the terms of this Agreement, do not use the Software.

1. License Grant

Subject to the terms of this Agreement, MSP Professionals LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for internal business use in accordance with your subscription or service plan.

2. Restrictions

You agree not to:

• Modify, reverse engineer, decompile, or disassemble the Software

• Copy, reproduce, republish, or distribute the Software, in whole or in part

• Use the Software for unlawful purposes or in a way that infringes upon the rights of others

• Allow third parties to access the Software except as authorized under your user role

• Use the Software in a way that interferes with its normal operation or with other users

3. Ownership and Intellectual Property

The Software is owned and operated by MSP Professionals LLC and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved by MSP Professionals LLC.

4. User Content

You retain ownership of any data, content, or information you upload or input into the Software ("User Content"). You grant MSP Professionals LLC a non-exclusive license to process and store your User Content solely for the purpose of providing the service.

You are solely responsible for the accuracy and legality of your User Content.

5. Data Security and Privacy

Your use of the Software is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal and organizational data.

6. Termination

This Agreement is effective until terminated. MSP Professionals LLC may suspend or terminate your access to the Software at any time for violation of this Agreement or if required by law. Upon termination, your right to use the Software ceases, and you must delete all copies in your control.

7. Updates and Modifications

MSP Professionals LLC may update or modify the Software at any time, with or without notice, to improve functionality, address security issues, or comply with legal requirements. Continued use after such updates constitutes your acceptance of any modified terms.

8. Disclaimer of Warranty

The Software is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Software will be error-free or uninterrupted.

9. Limitation of Liability

To the fullest extent permitted by law, MSP Professionals LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software. Our total liability under this Agreement shall not exceed the amount paid by you for access to the Software in the six months preceding the claim.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of courts in [Your County and State].
